Targets and forward-looking statements
Every performance figure in this brief is a target and an illustration only. That covers the expectation that at least one in ten talents reaches a successful outcome, the target of returning your original capital within about 18 months (six months of training, then up to twelve months), the 4x total return target (₦4,000,000 on ₦1,000,000 and ₦10,000,000 on ₦2,500,000), quarterly distributions, and any collective ownership. These figures look forward and rest on assumptions that may prove wrong. They are not forecasts, promises or guarantees. Real outcomes may be very different, and may be zero.
Risk of loss and illiquidity
An investment in Angeli Fund I is high risk. You may lose the whole amount you invest. Any interest is illiquid, may not be transferable, and may have no market. Prior cohorts and past activity do not predict future results, and BlackForce may fail. Only commit money you can afford to lose in full.
The talent
The talent you recommend or back through Angeli Fund I are independent people. They are not employees, agents, property or securities of any investor. Your investment gives you no loan to a talent, no control over them, no right to direct them, no right to their personal data, no right to contact them, and no claim on them or their earnings. A recommendation is a nomination only. It does not guarantee that any person gets admitted, trained, completes, gets placed, gets a visa, reaches any salary or reaches any outcome. The one exception: on the ₦2,500,000 option, at least one talent you recommend gets selected, provided that person meets BlackForce's minimum assessment, performance and participation requirements. No talent owes any repayment to any investor.
Returns and distributions
Any returns and quarterly distributions come from the collective activity of the talent portfolios. The company decides what to pay and when, at its discretion and under the definitive agreements. "Capital recovery" is a portfolio target, not a debt that BlackForce or any talent owes you. We do not guarantee the amount, the timing, or that distributions continue. BlackForce puts investor money into training, portfolio development, infrastructure and capacity building. It does not segregate, escrow or hold that money on trust for any investor unless the definitive agreements say so.
Ownership
The collective ownership of BlackForce we target for Fund I investors, about 10% once we reach the 2027 milestones, is contingent. BlackForce does not sell, price or buy it as payment, and may structure, time, defer or withhold it to follow the law. It sits under the issuing entity’s constitutional documents and the definitive agreements, and may carry no voting, dividend, pre-emption, information, board, redemption or put rights. BlackForce expects to hold it through a nominee or holding vehicle, so you may hold a beneficial interest rather than a legal one. It is illiquid, may never be worth anything you can realise, and we say nothing about what any interest may be worth at any time.
Statements and figures
Any statement about market size, revenue, cohorts, placements, alumni and outcomes describes what has happened so far, or gives context. These are management estimates, not a forecast. No one has independently verified, audited or reviewed them, and BlackForce does not warrant them as accurate or complete. BlackForce will not update them.
Accountability and limits
BlackForce owns intake quality, training delivery, placement effort and venture creation. It does not warrant hiring decisions by third parties, employer demand, market conditions, immigration or regulatory outcomes, or the performance, conduct or completion of any single talent. To the fullest extent the law allows, BlackForce excludes liability for indirect, consequential, special or economic loss, including lost profit, lost opportunity or expected benefit.
Eligibility, jurisdiction and checks
BlackForce offers this only to eligible investors. It does not offer it to anyone where that would breach the law, nor in any jurisdiction, including to US persons, where registration, licensing or filing would be required and has not been done. The access step does not verify your status. BlackForce may run identity, accreditation, source-of-funds, sanctions and anti-money-laundering checks, and may decline anyone without giving reasons. You handle your own tax, including any tax on distributions or on ownership you receive, and you follow your own local law.
The agreement governs
